Business law.

Commercial contracts.

We draft and negotiate a broad range of commercial contracts, advise on transactions, supply agreements and terms and conditions of trade, review existing arrangements, support day-to-day business needs and recommend steps to limit contractual exposure.

Preparation of contractual documents is an important element of risk management. We assist clients to identify contractual risks and manage liability. We also manage client risk by understanding the nature of proposed contractual arrangements and drafting agreements to provide certainty in contractual relationships.

Joint ventures.

We develop and advise on contracts to support new types of business, such as collaborations, alliances, partnering strategies or joint ventures. Joint ventures can be devised for business expansion, development of new products and services, or moving into new markets or jurisdictions.

Commercial life cycle.

As with any business venture, it is vital that the right structure is selected to operate the particular venture. It is also important to ensure that each owner or shareholder’s rights and obligations are legally enforceable. The business structure adopted should be evolutionary; contemplating the entry and exit of shareholders and the possibility of external funding and business expansion.

Company secretarial.

Often the role of Company Secretary rests with the Chief Financial officer or General Counsel. Our lawyers have experienced this dual role first-hand. Bespoke assists Company Secretaries in coming to terms with the regulatory environment within which they work.
